
A China WFOE normally distributes profits to its foreign shareholder as a dividend supported by distributable after-tax profit. This guide is for overseas corporate and individual shareholders preparing an outbound profit payment in 2026.
The core file usually contains financial statements, profit and reserve calculations, a valid shareholder decision, tax returns and payment evidence, treaty documents where relief is claimed, external-payment tax filing evidence where applicable, and the bank’s remittance and KYC forms. The main caution is that no single national checklist fits every payment.
The shareholder type, treaty, amount, bank, location, ownership chain, and profit year can change the documents and tax treatment.
Cash in the bank is not automatically distributable profit. The company should determine its accumulated after-tax profit under its financial and accounting records.
Under the Company Law, losses should be covered before profit is distributed. The company generally allocates 10% of annual after-tax profit to the statutory reserve until that reserve reaches 50% of registered capital.
A distribution made contrary to the Company Law can be recoverable from the shareholder. Directors and responsible senior managers may also face liability where their fault causes company loss.
The bank and tax process should identify the payer, recipient, ownership relationship, and authorised decision-maker. Prepare current corporate records before calculating the dividend.

Article 208 of the revised Company Law requires company financial and accounting reports to be audited by an accounting firm according to law.
The shareholder decision converts the profit calculation into a corporate action. A single-shareholder WFOE normally uses a written shareholder decision. A multi-shareholder company follows its governance documents and valid voting process.

Review the articles before signing. Distribution rights may follow paid-in capital unless the lawfully agreed arrangement provides otherwise. The corporate records and payment allocation should be consistent.
For a foreign corporate shareholder, dividends from a Chinese resident enterprise are generally China-source income. The domestic enterprise income tax rate commonly applied to a non-resident enterprise’s dividend is 10%, subject to an applicable treaty and other rules.
The China WFOE is generally the withholding agent. Under the Enterprise Income Tax Law, withholding occurs when the payment is made or becomes due. The file may include the withholding return, tax calculation, payment voucher, and supporting shareholder information.
A foreign individual shareholder follows individual income tax rules rather than the non-resident enterprise rules. Do not apply the corporate shareholder rate without checking the recipient’s legal and tax status.
A treaty or tax arrangement may reduce the domestic withholding rate. Relief is not created by the shareholder’s address or certificate of incorporation alone.
STA Announcement No. 35 of 2019 uses a self-assessment process. The non-resident assesses eligibility, the withholding agent submits prescribed information, and relevant documents are retained for later review.

Confirm the exact treaty article. Ownership thresholds, holding periods, beneficial ownership, anti-abuse rules, and document validity can differ.
China’s tax and foreign exchange systems include a tax-record filing process for certain outbound payments under services trade and other current-account items. A dividend payment can fall within that process.
A single outbound payment above the applicable equivalent threshold may require online tax filing before the bank processes payment, unless an exception applies. The commonly referenced threshold is the equivalent of USD 50,000, but the company should verify the rule and system requirements at the payment date.
The filing pack can include the distribution resolution, financial records, tax calculation, recipient and treaty information, and the filing form or electronic reference. The tax authority can request supporting documents or conduct later review.
Do not describe the filing as universal “tax clearance.” Completion of a record filing does not by itself confirm that the tax analysis is correct.
