HK Annual Filing (Annual Report)

Hong Kong companies must file an annual return (Form NAR1) with the Companies Registry within 42 days of their incorporation anniversary each year, even if no details have changed.

This updates public records on directors, shareholders, registered office, and company secretary.

Key Deadlines

Private companies file annually, starting the year after incorporation.

Business Registration Certificate renews yearly (HKD 2,200, rising to HKD 2,350 after April 1, 2026) or every three years (HKD 6,020).

Profits Tax Returns and audits are filed separately with the Inland Revenue Department.​

Late Penalties

Fines increase with delay beyond 42 days:

  • Up to 3 months: HKD 870​
  • Up to 6 months: HKD 1,740​
  • Up to 9 months: HKD 2,610​
  • Over 9 months: HKD 3,480​

Non-filing risks prosecution or deregistration.
