How to Open a Trading Company in Shanghai

If you want to start a trading company in Shanghai, the usual approach is to establish a foreign-invested company with a business scope covering trading, import and export, wholesale, or retail. Shanghai supports a relatively efficient online registration process, but in practice, opening the company is only the first step. To actually conduct import and export business, the company also needs to complete tax, customs, and other post-registration procedures.

In general, the process includes several key steps:

First, confirm whether your business falls outside China’s foreign investment negative list. If the sector is not restricted or prohibited, foreign investors can usually proceed under the standard registration route.

Second, determine the company structure, including the shareholder, legal representative, registered address, registered capital, and business scope. For most investors, the common choice is a Wholly Foreign Owned Enterprise (WFOE).

Third, submit the company registration in Shanghai and obtain the business license. After that, the company still needs to complete tax registration, and if it will engage in cross-border goods trade, it must also handle customs and import-export recordation procedures before operations can fully begin.

It is also important to note that if the company plans to deal in regulated products such as food, medical devices, cosmetics, or chemicals, additional permits may be required depending on the industry.

For foreign investors, document preparation is another key part of the process. In many cases, overseas company documents need to go through notarization, legalization, or equivalent certification procedures before they can be used for registration in China.
